Terms of Service

These Terms explain what you can reasonably expect from MomentumLedger, and what MomentumLedger expects from you in return.

1. Who we are

Momentum Ledger ("Momentum Ledger", "we", "us", "our") is the brand name for the MomentumLedger service (the "Service").

2. Eligibility and acceptance

By using MomentumLedger, you confirm that:

  • you are old enough to form a legally binding contract where you live, and
  • you are using MomentumLedger for business purposes (not as a consumer banking product).

If you do not agree to these Terms, do not use the service.

3. Your account and security

You are responsible for:

  • keeping your login credentials confidential,
  • all activity under your account, and
  • promptly notifying us if you suspect unauthorized access.

We may suspend access if we reasonably believe an account is compromised or being misused.

4. Your data (and your responsibility for Client Data)

MomentumLedger lets you store business data, including client contact details, invoices, and expenses ("Customer Data").

You are responsible for ensuring you have the right to:

  • store and process Customer Data in MomentumLedger, and
  • contact your clients (for example, sending invoices and reminders).

You remain responsible for your own business records and compliance obligations (including tax and accounting rules in your jurisdiction). MomentumLedger provides software and calculations based on what you enter; it does not verify or audit your data.

5. Our license to you, and your license to us

Your license to use the app:

We grant you a limited, non-exclusive, non-transferable right to access and use MomentumLedger for your internal business purposes, during your subscription term (including any free plan use), subject to these Terms.

Your ownership:

You retain ownership of your Customer Data.

License you grant to us:

You grant Momentum Ledger permission to host, process, transmit, and display Customer Data solely to provide, maintain, and improve MomentumLedger, and to keep the service safe and reliable.

6. Plans, limits, and fair use

MomentumLedger may offer multiple plans (including a free tier and paid tiers). Plans may have:

  • usage limits (for example, invoices, clients, expenses per month),
  • feature restrictions, and
  • fair-use controls to prevent abuse.

We may change plans, features, and limits over time. If changes materially affect paying users, we will make reasonable efforts to notify you in advance.

7. Payments, renewals, cancellation, and refunds

When paid plans are available:

  • subscriptions will renew automatically unless you cancel before the renewal date,
  • billing will be handled through a third-party, PCI-compliant payment provider,
  • taxes may be added where required.

Refund handling, proration (if any), and billing-cycle details will be presented at checkout and may vary by plan and region.

If you cancel, your subscription typically remains active until the end of the current billing period (unless stated otherwise at checkout).

8. Email sending, reminders, and communications

MomentumLedger may send:

  • service emails (account verification, password resets, security notices),
  • invoice emails you trigger,
  • reminders and follow-ups you enable (including automated reminders or chasing on paid tiers).

Anti-spam policy: You must not use MomentumLedger to send unsolicited bulk email, marketing blasts, or messages unrelated to genuine invoicing and payment follow-up. We may throttle, pause, or suspend sending for abuse prevention and deliverability protection.

If you opt in, we may send product updates or newsletters. You can unsubscribe from marketing emails using the link provided or by contacting support.

9. Acceptable use

You agree not to:

  • misuse or interfere with the service,
  • attempt to bypass security or access other users' data,
  • scrape, reverse engineer, or probe the app (except as allowed by law),
  • upload malware or harmful code,
  • use MomentumLedger for unlawful activity,
  • use the system as an email relay or spam tool.

We may suspend or terminate accounts that violate these rules or create risk to the platform or other users.

10. Third-party services

To operate MomentumLedger, we rely on third-party providers (for example: hosting, email delivery, and payment processing). Your use of MomentumLedger may be subject to those providers' technical constraints and service availability.

We are not responsible for outages or failures caused by third-party services outside our reasonable control, though we will take reasonable steps to restore service.

11. Service availability and changes

MomentumLedger is provided on an "as is" and "as available" basis. We aim for reliable uptime, but occasional downtime may occur due to maintenance, updates, or unexpected incidents.

We may update, change, or discontinue features over time. If we discontinue a paid feature, we will make reasonable efforts to communicate changes and provide alternatives where practical.

12. Termination

You may stop using MomentumLedger at any time.

We may suspend or terminate your access if you:

  • materially breach these Terms,
  • misuse the service or harm platform integrity,
  • or create legal or security risk.

Where reasonable, we will attempt to provide notice and an opportunity to remedy, but we may act immediately in urgent cases (security, abuse, legal compliance).

13. No financial, tax, or legal advice

Any numbers, summaries, and dashboards in MomentumLedger are based on your inputs and simple calculations. They are not audited and do not constitute financial, tax, or legal advice. For decisions with legal or tax implications, consult a qualified professional.

14. Disclaimers

To the maximum extent permitted by applicable law:

  • we do not make warranties that MomentumLedger will be uninterrupted, error-free, or meet every requirement you may have,
  • we do not guarantee that using MomentumLedger will ensure compliance with legal, tax, or accounting obligations.

15. Limitation of liability

To the maximum extent permitted by applicable law, Momentum Ledger will not be liable for:

  • indirect, incidental, special, consequential, or punitive damages,
  • loss of profits, revenue, business, goodwill, or data,
  • or damages resulting from your use of (or inability to use) MomentumLedger.

Where liability cannot be fully excluded, it will be limited to the amount you paid to MomentumLedger for the service in the preceding 3 months (or, if you are on a free plan, a reasonable nominal amount), unless applicable law requires otherwise.

16. Indemnity

You agree to defend, indemnify, and hold harmless Momentum Ledger from claims, liabilities, damages, and expenses arising out of:

  • your Customer Data (including Client Data),
  • your misuse of MomentumLedger,
  • your violation of these Terms, or
  • your violation of law or third-party rights.

17. Feedback

If you send feedback or suggestions, you grant us permission to use it to improve MomentumLedger without obligation or compensation.

18. Changes to these Terms

We may update these Terms as the product evolves. When changes are material, we will update the date at the top and may provide notice within the app. Continued use after changes means you accept the updated Terms.

19. Governing law and disputes

These Terms are governed by the laws applicable to Momentum Ledger's operations, without regard to conflict-of-law principles. Disputes will be handled in the courts located in the applicable jurisdiction, unless applicable law requires otherwise.
